Terms of Service

These terms form a binding agreement between you and Lysnd LLC, a North Carolina limited liability company and the operator of Lysnd.io ("Lysnd," "we," "us," or "our"). They govern your access to and use of the Lysnd.io website and application, together with our Privacy Policy and any supplemental terms we publish for specific features (such as a plan add-on or an integration).

By creating an account, browsing the website, or using any part of the service, you accept these terms in full. If you are accepting on behalf of an employer or organization, you confirm that you have authority to bind that organization, and "you" includes that organization. You must be at least 13 years old to use Lysnd.io, and old enough to form a binding contract under the laws that apply to you.

We may update these terms from time to time. If a change is material, we will tell you by email or with a notice in the app before it takes effect. Your continued use of the service after the new terms take effect means you accept them. If you do not agree to a change, you can stop using the service and close your account.

You are responsible for the accuracy of your account details, for keeping your credentials secure, and for all activity that happens under your account. Tell us right away if you believe someone has gained unauthorized access to your account.

Accounts may contain multiple workspaces, and workspaces may contain multiple members with admin or member roles. Admins can manage projects, members and credits. You may be a member of more than one workspace. You may not misrepresent your identity, impersonate another person or company, or maintain multiple free accounts; we may suspend or merge duplicate free accounts.

Access to certain features is metered in credits. Paid plans are billed monthly in advance in US dollars through our payment processor and renew automatically each month until you cancel in your account settings.

Plan credits roll over from month to month while your subscription stays active. Top-up credits do not expire. Credits are a limited, revocable licence to use the service: they carry no cash value, cannot be transferred or sold, and are forfeited if you close your account.

All sales are final. We do not offer refunds, prorated credits or fee adjustments for partially used billing periods, downgraded plans or unused balances, except where applicable law requires us to.

Prices are exclusive of all taxes, duties and levies. Where we are required to collect them, applicable tax is calculated and added at checkout.

If a payment fails or a card is declined, we retry and contact you. Paid features may be suspended, or the account moved to the free Starter tier, until payment is resolved.

You agree not to misuse Lysnd.io. That means you will not:

• Attempt to breach or probe our security or access controls, or access the service other than through its intended interface.
• Scrape, crawl or harvest the service itself, or access it with automated tools other than the ones we provide.
• Reverse engineer the service, or resell its output as your own product.
• Invite people to a workspace without a genuine work or personal reason to collaborate with them. By sending an invitation you confirm you are allowed to share that person's email address with us so we can email them the invitation.
• Abuse credits, for example by creating multiple free accounts or circumventing fair-use limits.
• Use the service to harass, defame, stalk or unlawfully profile individuals, or in violation of any applicable law.
• Interfere with the service's operation, including by overloading it, running disruptive automated workloads, or uploading malicious code.
• Use the service in a way that violates the terms of the third-party platforms whose content we surface, for example by redistributing quotes or reviews in bulk.

We may investigate suspected misuse and suspend accounts while we do.

Lysnd.io summarises publicly available third-party content — posts, reviews, threads, comments and articles — and organises it into learnings, opportunities and plans. Summaries, sentiment readings and other outputs are generated automatically and may be incomplete, inaccurate or out of date. You are responsible for validating anything you act on. Lysnd's outputs are decision support, not professional advice.

Quotes shown in the app are short excerpts of third-party content and remain the property of their authors. They are subject to the terms of the platform they were published on. We link back to the original source wherever we can.

The service depends on third-party sources — public platforms, search engines and data providers — that we do not control. Those sources may be unavailable, rate-limited, restructured or change their terms at any time, and we do not guarantee that any source will remain accessible or that any search will return results.

Our handling of personal information is described in the Privacy Policy. You retain ownership of the projects, questions, learnings and plans you create in the service. You are responsible for the accuracy of the product names, URLs and other inputs you provide.

If you send us feedback or suggestions, you give us a perpetual, worldwide, royalty-free licence to use them to improve the service, without obligation or attribution.

We may change, suspend or discontinue any feature of the service. We aim to give reasonable notice of material changes that reduce functionality you rely on, but we may make changes immediately where required for security, legal or operational reasons.

The service is provided on an as-available basis without a guaranteed uptime commitment unless separately agreed in writing. Scheduled maintenance and outages of upstream providers can interrupt availability, including listening loops.

You can close your account at any time from Account Settings or by contacting us through our contact page. We may suspend or close your account if you breach these terms, misuse the service (for example by abusing credits or creating multiple free accounts), or fail to pay. Where reasonable we will tell you first and give you a chance to fix the problem, but we may act immediately and without notice in cases of fraud, abuse, security risk, harm to other users or legal obligation.

When an account is closed:

• Access to projects, dashboards, learnings, plans and listening loops ends right away, and active loops stop running.
• Unused credits, whether plan or top-up, are forfeited and are not refunded, consistent with Section 3.
• You may request a copy of your workspace data before closing your account, or within 30 days afterwards, by contacting support.
• We delete or anonymise your account and workspace data within 30 days of closure. Backups are overwritten on a rolling schedule within 90 days.
• We may keep limited records, such as billing and tax history, abuse-prevention signals and legal correspondence, for as long as the law requires or for legitimate security purposes.

Workspaces and their data belong to the workspace owner. If you are a member of a workspace you don't own, leaving or being removed ends your access to it, but the workspace and its data stay with the owner. Anyone can create their own account and workspace. If a workspace owner closes their account, all members lose access to that workspace.

Service "as is." Lysnd.io is provided "as is" and "as available." To the fullest extent the law allows, Lysnd LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

Research outputs. We collect and summarise public conversations from third-party sources. We don't guarantee that results are complete, accurate, current or available, or that any source will remain accessible. Learnings, golden opportunities, plans and business cases are AI-assisted decision support, not professional advice, and you are responsible for decisions you make based on them.

Limitation of liability. To the fullest extent the law allows, Lysnd LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if told they were possible. Our total liability for any claim relating to the service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US$100.

Indemnity. You agree to defend and compensate Lysnd LLC for third-party claims arising from your misuse of the service, your breach of these terms, or content you upload or share.

Some jurisdictions don't allow certain disclaimers or limits, so some of the above may not apply to you.

We respect the intellectual property of others. We quote short excerpts from publicly available sources with attribution and links back to the original, but if you believe material available through Lysnd.io infringes your copyright, send a notice to support@lysnd.io with the subject line "Copyright Notice" that includes:

• Identification of the copyrighted work you claim is infringed.
• The Lysnd.io URL or a description of the material you want removed.
• Your name, address, phone number and email address.
• A statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf.
• Your physical or electronic signature.

If your notice is complete and valid, we will remove or disable access to the material and may notify the account holder. If you believe your material was removed by mistake, you can send a counter-notice to the same address and we will review it. We may terminate the accounts of users who are repeat infringers. Platform owners who want review or forum content removed from our results can use the same process.

We want to resolve problems directly. Before starting a formal dispute, please contact us at support@lysnd.io and give us 30 days to work out a solution in good faith.

If we cannot resolve it, any dispute arising out of or relating to these terms or the service will be settled by binding individual arbitration rather than in court, except that either party may bring a claim in small-claims court or seek injunctive relief in the state or federal courts located in North Carolina. Arbitration will be administered by a recognised arbitration body, seated in North Carolina, in English. You and Lysnd LLC each waive the right to a jury trial and to participate in a class action, class arbitration or representative proceeding; claims may only be brought individually.

You must bring any claim within one year of when it arose, or it is permanently barred. These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules.

Entire agreement. These terms, the Privacy Policy, and any supplemental terms we publish make up the entire agreement between you and Lysnd LLC, and they replace any earlier agreements about the service.

Severability. If a provision of these terms is unenforceable, the rest stays in force and the unenforceable part is reinterpreted as closely as possible to its original intent.

Assignment. You may not assign these terms or your account without our written consent. We may assign them in connection with a merger, acquisition or sale of all or part of our business, and we will tell you if that happens.

Force majeure. Lysnd LLC will not be liable for any delay or failure in performance resulting from causes outside our reasonable control, including natural disasters, acts of government, telecommunications failures, power outages, cyberattacks, or cloud hosting and upstream infrastructure outages.

No waiver. Our failure to enforce a provision is not a waiver of it, and we may enforce it later.

Compliance. You may not use the service in violation of United States export control and trade sanctions laws.
